Welcome to Omppis! These Terms & Conditions (“Terms”) govern the use of the website and online shop operated by Vireo Beverages OÜ (“Vireo”, “Omppis”, “we”, “us”, “our”). Our store is powered by Shopify Inc., which provides us with the online e-commerce platform that allows us to sell our products to you.

By visiting our site or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms. Please read them carefully.

2. SCOPE AND ELIGIBILITY

These Terms apply to all users of the site, including browsers, vendors, customers, and merchants. By agreeing to these Terms, you represent that you are at least the age of majority in your country of residence. Our Services cover:

  • The purchase of non-alcoholic beverages.

  • Shipping and delivery within Finland and Estonia.

  • B2C (Consumers) and B2B (Business) transactions.

3. PRODUCTS AND ACCURACY

  • Beverages: We sell non-alcoholic beverages. Product descriptions, ingredients, and nutritional information are subject to change without notice.

  • Illustrations: We make every effort to display product colors and packaging as accurately as possible. However, the appearance on your screen may differ slightly from the actual product.

  • Availability: We reserve the right to limit the sales of our products to any person or geographic region and to discontinue any product at any time.

4. ACCOUNTS AND SECURITY

You may create an account to manage your orders. You are responsible for maintaining the confidentiality of your account credentials. We reserve the right to refuse service or terminate accounts if we suspect fraudulent activity or a breach of these Terms.

5. ORDERING AND CONTRACT FORMATION

  • Offer: Placing an order via our Shopify checkout constitutes an offer to purchase.

  • Confirmation: You will receive an automated email confirming receipt of your order. This does not yet constitute acceptance of the contract.

  • Contract: The contract is formed only when we send you a Shipping Confirmation email or dispatch the goods.

  • Cancellation: We reserve the right to cancel orders due to stock errors, pricing inaccuracies, or suspected fraud. If your payment has been processed, we will issue a full refund immediately.

6. PRICES, TAXES (VAT), AND BILLING

  • Currency: All prices are in EUR.

  • Taxes: For B2C, prices include applicable VAT. For B2B, prices may be shown excluding VAT depending on the regional reverse-charge rules and a valid VAT ID.

  • Shipping: Costs are calculated by weight/region and shown at checkout.

  • Accuracy: You agree to provide current and accurate purchase information. We are not liable for delivery failures caused by incorrect addresses provided by you.

7. PAYMENT METHODS

Payments are processed securely via Shopify Payments and its integrated providers. We accept:

  • Stripe (Credit/Debit cards, Apple Pay, Google Pay).

  • Revolut Pay.

  • Local Finnish/Estonian payment methods (where enabled). We do not store full payment card details; these are handled by PCI-compliant providers.

8. SHIPPING AND DELIVERY

  • Partners: Typically Posti, Itella, or Omniva.

  • Times: Estimated delivery is 5–9 business days. These are estimates and not guaranteed.

  • Risk of Loss: * B2C: Risk passes to you upon physical receipt of the goods.

    • B2B: Risk passes to you upon handover of the goods to the carrier.

9. RIGHT OF WITHDRAWAL (CONSUMERS ONLY)

Under EU law, consumers have a 14-day right of withdrawal.

  • Hygiene & Health Protection: According to Art. 16(e) of Directive 2011/83/EU, the right of withdrawal does not apply to sealed goods that are not suitable for return for health protection or hygiene reasons if they become unsealed after delivery.

  • Condition: We only accept returns for beverages if the products are unopened, the seal is intact, and the packaging is in original condition.

  • Return Costs: You are responsible for all return shipping costs unless the product was defective or incorrect.

10. DEFECTS, INCORRECT ITEMS, AND COMPLAINTS

If you receive damaged or incorrect items:

  1. Contact us at rafael@omppis.com within 48 hours of receipt.

  2. Provide your order number and photos of the damage/error.

  3. Remedy: We will prioritize a replacement. If a replacement is not possible, a full refund will be issued.

11. B2B TERMS (BUSINESS CUSTOMERS)

  • Consumer withdrawal rights do not apply.

  • Business customers must inspect deliveries immediately and report any non-conformity within 2 business days.

  • Our liability to B2B customers is limited to the amount paid for the specific order.

12. PROHIBITED USES AND AGENTS

You are prohibited from using the site for any unlawful purpose or to infringe upon our intellectual property.

  • Agents: Any automated software ("Agents") interacting with our Services must identify themselves clearly (e.g., "Agent/[name]") and must not circumvent security measures or CAPTCHAs.

13. INTELLECTUAL PROPERTY

All content on this site (text, "Omppis" branding, "Vireo" logos, images, and designs) is the property of Vireo Beverages OÜ or our licensors. Reproduction or commercial use without prior written consent is strictly prohibited.

14. LIMITATION OF LIABILITY AND WARRANTY

  • "As Is": Our Services and products are provided 'as is' and 'as available' without any express or implied warranties, except where required by law.

  • Liability: To the fullest extent permitted by law, Vireo Beverages OÜ and Shopify shall not be liable for any indirect, incidental, or consequential damages (including lost profits) arising from your use of the Service.

15. GOVERNING LAW AND DISPUTES

  • B2B: Governed by the laws of Estonia. Venue: Tallinn.

  • B2C: You are protected by the mandatory consumer laws of your country of residence (Finland or Estonia). You may use the EU Online Dispute Resolution (ODR) platform for settlements.

16. CHANGES TO TERMS

We reserve the right to update these Terms at any time. The most current version will always be posted on our website. Continued use of the site following changes constitutes acceptance.
